Terms of service

These terms are the agreement between you and Jonathan Chen, an individual carrying on business as Good Merchant (“Good Merchant”, “we”, “us”), for using the Good Merchant website, dashboard and Shopify app (the “service”). By creating an account or installing the app, you agree to them. Our privacy policy explains how we handle information and is part of this agreement.
1. Who can use it
The service is for businesses. You must be at least 18, and if you use it for a company, you confirm you can agree to these terms on its behalf. You must have the right to connect any Shopify store and ad account you connect.
2. What the service does
Good Merchant reads your Shopify store and connected ad accounts and shows your revenue, costs, profit, cash flow, ad performance, customer cohorts and stock in one dashboard. Its access to your store is read-only: it never creates, changes or deletes anything in your store or ad accounts. A demo store with made-up data is available to try before signing up.
3. Your account
Keep your sign-in details secure and your email address current, since that’s where we send notices about your account and plan. You’re responsible for what happens under your account. Tell us at jon@goodmerchant.io if you think someone else has used it.
4. Plans and billing
Plans are priced by how many orders your store takes in 30 days:
- $15 a month: up to 1,000 orders a month
- $29 a month: up to 5,000 orders a month
- $49 a month: up to 20,000 orders a month
- $79 a month: unlimited orders
- Billed by Shopify. You approve your plan on Shopify, and it’s charged every 30 days on your Shopify invoice in US dollars. Shopify handles payment and any taxes, under Shopify’s own terms.
- No surprise charges. If your store takes more orders than your plan covers, we email you. Nothing moves to a higher plan unless you choose it, and your dashboard keeps working in the meantime.
- Your price stays yours. If we raise prices, the new prices apply to new stores. You keep the price you signed up at for as long as you stay on that plan.
- Changing or cancelling. Change plan from Settings. Moving up applies straight away, with Shopify charging the difference for the rest of the period; moving down applies from your next period. Cancel by uninstalling the app or deleting your account; you won’t be charged again. We don’t refund part-used periods, except where the law or Shopify’s billing rules require it.
5. Your data
Your store’s data, and everything you enter, stays yours. You allow us to store and process it only to run the service for you, as described in the privacy policy. You can download it or delete it from Settings at any time.
6. How to read the numbers
Every figure is worked out from data we’re given: what Shopify and your ad platforms report, and the costs you enter. If that data is incomplete, delayed or wrong, the figures will be too. Some figures are estimates by nature: amounts converted between currencies use daily exchange rates, and costs you set as averages are averages. Ad platforms and Shopify also count sales differently from each other.
Good Merchant helps you understand your business. It isn’t accounting, tax, legal or financial advice, and it doesn’t replace your books. Check important figures before relying on them for a decision, and tell us through the “Message the developer” button when one doesn’t add up.
7. Using it fairly
Please don’t:
- use the service for anything unlawful, or to connect a store or account you aren’t allowed to;
- try to get into other accounts, our systems, or data that isn’t yours;
- copy, resell or rebuild the service, or scrape or overload it;
- interfere with its security or with other people’s use of it.
8. Other companies' services
The service depends on Shopify, ad platforms such as Meta, and the providers listed in the privacy policy. Your use of Shopify and your ad accounts is governed by their terms. If one of them is unavailable, changes what it shares, or withdraws access, parts of the service may stop working until it’s resolved, and we aren’t responsible for their services.
9. Changes to the service
We’ll keep improving the service, which means features will change. We won’t remove something your plan depends on without telling you first. Features marked as coming soon or in testing may change or not arrive.
10. Ending the agreement
You can stop at any time by deleting your account or uninstalling the app. We may suspend or close an account that breaks these terms or goes unpaid, and will tell you why by email first unless there’s a security or legal reason not to. When an account closes, its data is deleted as the privacy policy describes. Sections 5, 6 and 11 to 14 still apply afterwards.
11. No guarantees
We work to keep the service accurate and available, but it’s provided “as is” and “as available”. As far as the law allows, we don’t promise it will be uninterrupted, error-free, or suitable for a particular purpose.
12. Limits on liability
As far as the law allows, Good Merchant isn’t liable for indirect or consequential losses, such as lost profits, revenue, data or business opportunities, or for decisions made using the figures it shows. Our total liability for any claim about the service is limited to what you paid for it in the 12 months before the claim. Nothing here limits liability that the law doesn’t allow to be limited.
13. Your responsibility to us
If someone makes a claim against us because of how you used the service in breach of these terms or the law, you’ll cover the reasonable costs of it.
14. Governing law
These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Disputes go to the courts in Toronto, Ontario, unless the law where you are gives you the right to bring them somewhere else. Before going to court, email us and we’ll try to sort it out.
15. Changes to these terms
If these terms change, the new version will be posted here with a new date. For changes that matter to you, we’ll email you at least 30 days before they take effect. Using the service after that means you accept the new terms; if you don’t, you can delete your account before then.
